Booth Rental & Consignment Agreement

This Booth Rental & Consignment Agreement ("Agreement") is entered into between Your Neighbor's Closet ("YNC") and the individual renting a sales booth ("Seller"). By reserving a booth, checking the agreement box, or signing this Agreement, Seller acknowledges that they have read, understood, and agree to these terms.

Rental Period

  • Booths are rented for one (1) week.
  • Setup: Saturday between 9:00 AM and 11:00 AM
  • Booth Open for Sales: Saturday through Friday
  • Booth Removal: Friday evening during designated pickup hours 4:00 PM-6:00 PM.
  • Rental dates may not be transferred without approval from YNC.

Refundable Booth Deposit

  • The weekly booth rental fee is due in full at the time of booking.
  • Rescheduling requests are subject to availability.
  • Rental of a booth does not guarantee any minimum level of sales or earnings.

Refundable Booth Deposit: A refundable booth deposit of $35 is due at the time of booking to reserve your space. The full deposit will be refunded with your weekly sales payout, provided the Seller checks in and sets up their booth during the scheduled setup window. Sellers who fail to appear, cancel after booking, or do not occupy their reserved booth forfeit the deposit, except as otherwise required by California law.

What Your Rental Includes

Each rental includes:

  • Designated sales booth
  • Clothing racks and shelving (as available)
  • 35 Black Velvet Hangers
  • Price tags for your items
  • Point-of-sale services
  • Credit card processing
  • Customer service by YNC staff
  • Store marketing and advertising
  • Secure retail shopping environment
  • Weekly sales summary
  • Seller payout

Seller Responsibilities

Seller is responsible for:

  • Pricing all merchandise.
  • Tagging merchandise using YNC-approved tags.
  • Merchandising and displaying items neatly.
  • Maintaining booth appearance throughout the rental period (if applicable).
  • Picking up all unsold merchandise during scheduled pickup.

All merchandise must be:

  • Clean
  • Odor-free
  • Free of stains
  • Free of excessive wrinkles
  • Free of tears or damage
  • In working order (if applicable)
  • Safe for resale
  • Authentic

YNC reserves the right to remove any item that does not meet store standards.

Items Not Accepted

The following may not be sold:

  • Counterfeit merchandise
  • Recalled products
  • Hazardous materials
  • Firearms or weapons
  • Alcohol
  • Tobacco or vaping products
  • Illegal items
  • Adult materials
  • Open cosmetics or personal care products
  • Any item prohibited by federal, state, or local law

Seller represents that they have legal ownership of all merchandise offered for sale.

Sales & Seller Payment

  • YNC acts solely as a sales facilitator.
  • Seller receives 70% of the final selling price.
  • YNC retains 30% as its commission.
  • California sales tax will be collected and remitted as required by law.
  • Payments are typically issued via Venmo or Zelle by Sunday following the close of the rental period after final reconciliation.
  • Please ensure the Zelle email/phone number or Venmo username you provide is accurate. We are not responsible for delayed or misdirected payments due to incorrect payment information provided by the renter.

Unsold Merchandise

  • Seller agrees to remove all unsold merchandise during the scheduled pickup time.
  • If Seller cannot attend pickup, YNC may remove and store the merchandise for a storage fee, if available.
  • Items left beyond the pickup period may incur storage charges.
  • If merchandise is not claimed within the time permitted under applicable California law and after reasonable notice to Seller, it may be considered abandoned and disposed of in accordance with California law.

Booth Care

Seller agrees to:

  • Leave booth clean.
  • Return all store hangers and equipment.
  • Avoid damaging fixtures.

Seller may not use nails, screws, adhesives, staples, tape, glitter, confetti, or other materials that damage store fixtures.

Seller is responsible for the reasonable cost of repairing damage beyond normal wear and tear.

Merchandise Loss or Damage

  • YNC exercises reasonable care in handling merchandise but cannot guarantee against loss, theft, or accidental damage.
  • Except where caused by YNC's negligence or willful misconduct, Seller assumes the risk of loss for merchandise placed in the booth.
  • Seller is encouraged to maintain any insurance they believe appropriate for their inventory.

Product Responsibility

Seller is solely responsible for the authenticity, safety, legality, and condition of all merchandise.

Seller agrees to indemnify and hold harmless YNC from claims arising from:

  • counterfeit merchandise
  • recalled products
  • intellectual property violations
  • product defects
  • injuries caused by Seller's merchandise
  • Seller's violation of applicable laws

This provision does not require Seller to indemnify YNC for YNC's own negligence or willful misconduct.

  1. Recall Policy: If an item is subject to a government or manufacturer recall, Your Neighbor's Closet may immediately remove it from the sales floor without notice.
  2. Right to Refuse Merchandise: Reserve the right to refuse any item that doesn't fit your brand, quality standards, or legal requirements.
  3. Photo & Marketing Consent: Include permission to photograph booths and merchandise for use in your social media, website, and advertising without additional compensation to the Seller.

Independent Relationship

Seller is an independent seller and is not an employee, agent, partner, or representative of Your Neighbor's Closet.

Nothing in this Agreement creates an employment, partnership, or agency relationship.

Limitation of Liability

To the fullest extent permitted by California law, YNC shall not be liable for indirect, incidental, special, or consequential damages arising from this Agreement.

Nothing in this Agreement limits liability for conduct that cannot legally be waived under California law.

Governing Law

This Agreement shall be governed by the laws of the State of California.

Any legal action arising from this Agreement shall be brought in the appropriate court located in Riverside County, California, unless otherwise required by law.

Acknowledgment

By signing below or completing an online reservation, Seller acknowledges that they have read and agree to all terms of this Agreement.

Electronic signatures are accepted and have the same legal effect as handwritten signatures under California law.

  2. Right to Refuse Merchandise: Reserve the right to refuse any item that doesn't fit your brand, quality standards, or legal requirements.
  3. Photo & Marketing Consent: Include permission to photograph booths and merchandise for use in your social media, website, and advertising without additional compensation to the Seller.
